XtudioPdf License Agreement

Version 1.0 — October 2026

This agreement is between TELCOMDEV S.A.C.S. (RUC 20616562259, Peru; "we") and the person or entity that installs or uses XtudioPdf ("you"). By installing, copying or using XtudioPdf you accept this agreement. If you don't accept it, don't use the software.

1. Definitions

  • Software: the XtudioPdf libraries (XtudioPdf.Core, XtudioPdf.AspNetCore), the designer, the xtudiopdf tool, the project templates and the editor extensions, in any version.
  • Community Edition: the Software used without a license key, or with an invalid or expired key.
  • License Key: the key we issue to you (XTPD.…) that registers your Pro / Commercial license.
  • Developer: a person who writes, designs or maintains code or templates that use the Software.
  • Your Application: software you build that includes or uses the Software.

2. Community Edition (Free)

We grant you a free, perpetual, worldwide, non-exclusive, non-transferable license to use the Community Edition — with all technical features unlocked, unlimited templates and no watermarks — if you are:

  • an individual developer, freelancer, student or educator;
  • a non-profit organization, charity or open-source project; or
  • a company or organization with less than $1,000,000 USD (one million US dollars) in annual gross revenue.

3. Commercial / Pro License

Organizations with $1,000,000 USD or more in annual gross revenue (or any organization that requires commercial support or formal commercial licensing) must obtain a paid Pro License Key:

  • Developers: by the number of Developers of your plan (Freelancer: 1; Team: up to 5; Company: unlimited Developers of a single legal entity and the entities it controls).
  • Offline validation: the Software validates your License Key (XTPD.…) 100% offline using cryptographic signatures and embeds your organization's name in the PDF metadata (Creator). It never requires an internet connection in development, CI or production.
  • Versions: every version of the Software released up to the "updates until" date of your License Key, forever. Later versions require renewing the updates.
  • Support: priority email support is included while your updates are active.

4. Distributing Your Application

You may distribute the XtudioPdf runtime libraries, and the PDFs they generate, as part of Your Application, royalty-free and to any number of end users. End users of Your Application don't need their own license. You may include your License Key in Your Application's configuration, but you must keep it confidential and you may not publish it.

5. Restrictions

You may not: (a) sell, rent or distribute the Software on its own, or as part of a library, SDK, component or service whose main purpose is to let others design or generate PDFs as a competitor of XtudioPdf; (b) remove, bypass or tamper with the license validation, or share License Keys with people outside your plan; (c) remove copyright notices; (d) use the Software in breach of applicable law.

6. Ownership

The Software is licensed, not sold. We keep all rights not expressly granted. The documents you generate and your templates belong to you.

7. Third-party components

The Software includes components under their own licenses (MIT, Apache 2.0, SIL Open Font License, Bitstream Vera and others), listed in THIRD-PARTY-NOTICES.md. Those licenses apply to those components.

8. Warranty and liability

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTIES OF ANY KIND, TO THE EXTENT ALLOWED BY LAW. You are responsible for checking that the documents you generate meet the legal or tax requirements that apply to you (for example, e-invoicing rules). Our total liability under this agreement is limited to the amount you paid us for the Software in the 12 months before the claim. We are not liable for indirect damages, lost profits or lost data. Nothing here limits liability that cannot be limited by law, nor the rights consumers have under the law of their country.

9. Termination

This agreement ends automatically if you breach it and don't fix the breach within 30 days of our notice. On termination you must stop using the Pro Features. Sections 6, 8 and 10 survive.

10. Governing law

This agreement is governed by the laws of the Republic of Peru. Disputes will be submitted to the competent courts of Peru, without prejudice to the rights that consumer protection law grants to consumers.
